Maintain oversight of contract lifecycle processes (intake, review, approvals, execution, renewals, obligations tracking) and ensure disciplined document retention.</p><p><strong>Corporate Governance & Corporate Secretarial Support:</strong> Support board and committee governance processes: preparation of agendas and packs, drafting resolutions, minutes, and action trackers; follow up on post-meeting actions. Assist with the maintenance of corporate governance frameworks, delegations of authority, and internal governance policies in coordination with GRC. Coordinate corporate filings, disclosures, and reporting obligations, ensuring accurate, timely, and well-documented submissions where required. Support governance for new entities, restructurings, and group-level matters (e.g., amendments to constitutional documents, signatory authorities, intercompany arrangements).</p><p><strong>Transaction Support, Funds & Investment Documentation:</strong> Provide legal support across the investment lifecycle: structuring discussions, term sheet review, transaction documentation negotiation, and closing deliverables. Support fund-related legal work (as applicable): documentation review, service provider agreements (fund admin, custodian, auditor), investor documentation support, and governance requirements. Coordinate and/or perform legal due diligence for investments, partnerships, and strategic initiatives; summarize findings, risks, and recommended protections/conditions precedent. Partner closely with Investment teams to ensure documentation accurately reflects commercial terms and appropriately allocates risk.</p><p><strong>External Counsel Management & Dispute/Claims Support:</strong> Manage external counsel engagements for specialized/complex matters: scope definition, budgeting, instruction, quality control, and value-for-money oversight. Assist with claims/disputes as needed (pre-litigation strategy, evidence gathering, settlement documentation), coordinating with external counsel and internal stakeholders.</p><p><strong>Legal Function Build-Out & Process Excellence:</strong> Support the transition of the legal function in-house by designing scalable legal workflows (intake, prioritization, approvals, matter tracking, and reporting). Deliver practical legal training/awareness sessions for business stakeholders (e.g., contracting hygiene, confidentiality/IP basics, signing authority discipline).
