Role Overview The Legal Counsel is a senior executive responsible for all legal matters affecting the company's business operations. The role encompasses corporate legal advisory, contract management, regulatory compliance, risk management, and governance. The Legal Counsel provides legal advice and support to the CEO, Executive Leadership Team and Board on legal and governance matters, ensuring that the company's activities are conducted in full compliance with applicable laws and regulations in the Kingdom of Saudi Arabia and internationally. Experience in the sports, venues, or entertainment sector is highly valued. Key Responsibilities Legal Advisory & Corporate Governance ● Serve as the primary legal advisor to the CEO, executive team, and Board of Directors on all legal and regulatory matters. ● Support the incorporation and establishment of the company as a legal entity, including all associated regulatory filings and government registrations. ● Advise on corporate governance frameworks, Board procedures, and joint venture obligations. ● Establish and maintain the Delegation of Authority (DOA) framework and monitor reserved matters. ● Manage the company's legal structure and ensure compliance with Saudi corporate law. Contracts & Commercial Legal Support ● Draft, review, negotiate, and manage all commercial contracts, including venue operation agreements, maintenance contracts, service-level agreements, event hosting agreements, licensing arrangements and supplier contracts. ● Develop and maintain contract templates and playbooks. ● Develop and maintain contract trackers and contract repository. ● Lead on all legal aspects of partnerships, joint ventures, and shareholder arrangements. ● Advise on legal considerations as relevant to the company’s operations including technology, intellectual property and data protection matters. ● Manage the legal aspects of Shared Services Agreements for the provision of back-office functional support (HR, Finance, Procurement, etc.). Regulatory Compliance ● Ensure full compliance with Saudi laws and regulations, including labor law, commercial law, data protection, and sector-specific regulations. ● Monitor changes in applicable legislation and advise the business on implications and required actions. ● Liaise with regulatory authorities, government bodies, and external legal counsel as required. Risk Management & Dispute Resolution ● Identify and manage legal risks across all areas of the business. ● Lead the resolution of disputes, claims, and litigation matters and liaise with external legal counsel. ● Oversee insurance arrangements and risk mitigation strategies from a legal perspective. HR & Employment Law ● Advise on employment contracts, HR policies, labor law compliance, and disciplinary matters. ● Support the HR function on Saudization (Nitaqat) requirements and workforce planning from a legal perspective. GRC — Governance, Risk & Compliance ● Develop and implement the company's GRC framework, policies, and procedures. ● Lead anti-corruption, ethics, and compliance programs across the organization. ● Build governance capability across the organization. Leadership ● Develop the legal capability of the organization, leveraging external legal advisers. ● Establish scalable legal processes and governance to support organizational growth. ● Leverage AI and other technologies to generate efficiencies in the delivery of legal support. Wider Business Contribution ● As a member of a lean and growing executive team, contribute to wider company priorities beyond the Legal Counsel’s defined functional responsibilities where required. ● As an indicative guide, approximately 10-20% of the role may be allocated to broader business requirements outside the responsibilities specifically set out in this job description, depending on the company’s priorities and stage of development. Qualifications & Experience ● Saudi National (strongly preferred). ● Bachelor’s degree in law (LLB) from an accredited university; LLM or equivalent postgraduate legal qualification preferred. ● Licensed to practice law in the Kingdom of Saudi Arabia (preferred). ● Minimum 10 years of legal experience, with at least 5 years in a senior in-house counsel role. ● Proven experience in the sports, entertainment, venues, facilities management, or real estate sector is strongly preferred. ● Strong knowledge of Saudi commercial, corporate, and labor law. ● Experience working within joint venture or multi-stakeholder corporate structures. ● Demonstrated experience advising Boards and senior executives.
