Job Purpose To support and enhance the company’s corporate governance framework by ensuring compliance with applicable regulations in the financial and Fin Tech sectors, and by contributing to acquisition activities and investor relations governance, in order to promote transparency, protect stakeholders’ rights, and support sound corporate decision-making.
Key Responsibilities Design, implement, and maintain the corporate governance framework in line with regulatory requirements and recognized best practices applicable to financial and Fin Tech companies. Draft, review, and update governance policies, procedures, charters, and internal manuals, including the Code of Conduct, Conflict of Interest policies, and the Delegation of Authority matrix, and monitor compliance therewith. Ensure continuous compliance with applicable laws, regulations, and supervisory instructions issued by relevant authorities, and oversee the implementation of governance-related compliance requirements. Provide governance support for mergers, acquisitions, and strategic investments, including due diligence, regulatory assessment, and review of related documentation and shareholders’ agreements. Oversee governance aspects of investor relations, including disclosures, governance reporting, and structured communication with investors. Prepare, present, and monitor governance reports, dashboards, and key performance indicators (KPIs) for senior management, the Board of Directors, and Board committees, and contribute to the preparation of annual reports. Coordinate and support the work of the Board of Directors and its committees, including agenda preparation, meeting organization, minute-taking, and follow-up on resolutions and recommendations. Act as a primary liaison between the governance function and relevant departments (Legal, Compliance, Finance, Risk, and Strategy) to ensure institutional alignment and integration. Monitor regulatory updates, circulars, and governance developments, assess their impact on the company’s operations, and submit appropriate recommendations. Support internal and external audit activities and follow up on observations and recommendations issued by regulatory, supervisory, or advisory bodies related to governance. Oversee the governance of subsidiaries and investee companies and ensure alignment with the approved corporate governance framework. Review the governance aspects of new products and services, particularly in Fin Tech environments, prior to launch to ensure regulatory compliance and sound governance. Manage the governance risk register and follow up on mitigation plans in coordination with the Risk Management and Compliance functions. Promote a culture of governance and ethical practices across the organization through awareness programs, training initiatives, and advisory support to executive management. Maintain accurate, complete, and confidential governance records and documentation, ensuring readiness for review and inspection when required. Contribute to continuous improvement initiatives and business continuity planning from a governance and regulatory perspective. Participate in the development and enhancement of business continuity and crisis management plans from a governance standpoint. Draft and prepare statements of claim, legal pleadings, responses, and appeals related to the company’s legal cases, in coordination with the Legal Department or external legal advisors. Represent the company in court hearings and proceedings before judicial or quasi-judicial bodies, subject to official authorization and legal delegation. Follow up on the company’s legal cases and disputes, and prepare periodic reports on their status and developments for senior management. Coordinate with external lawyers and legal consultants, and review their memoranda, pleadings, and recommendations. Prepare legal memoranda and regulatory opinions related to governance, acquisitions, investor relations, and strategic corporate decisions. Follow up on the implementation of judicial and quasi-judicial judgments and decisions related to the company.
Qualifications Bachelor’s degree in one of the following fields:Law, Business Administration, Finance or a related field. Professional certifications in governance, compliance, or financial markets are preferred.
Required Experience4–5 years of relevant experience in corporate governance. Previous experience within financial institutions or Fin Tech companies. Hands-on experience in mergers and acquisitions (M&A) from a governance or regulatory perspective. Experience in investor relations governance and regulatory disclosures.

Proficiency in Arabic and English (written and spoken). Salary Range SAR 13,000 – 14,000 per month
