Manager, Legal, Governance and JV Compliance

Company Profile Sapphire is a joint venture between Alat (a Public Investment Fund company) and Soft Bank Group. Based in the Special Integrated Logistical Zone (SILZ) in Riyadh, Sapphire is focused on the manufacturing of industrial robots that power the next generation of automation and smart manufacturing.
Position Summary The Legal, Governance, and Joint Venture Compliance Manager oversees Sapphire’s legal, compliance, and governance framework. The role provides strategic legal guidance to the CEO and Board, ensures alignment with the ALAT–Soft Bank Joint Venture requirements, and maintains compliance with regulatory and shareholder obligations. The manager leads governance practices, oversees contracts and policies, supports board reporting, coordinates audits and risk mitigation, and manages stakeholder engagement to uphold corporate integrity and transparency.
Key Responsibilities Legal Advisory & Contract Management Provide legal counsel and strategic advice to the CEO, Board of Directors, and Executive Management on a broad range of legal and regulatory matters, including permitting, licensing, and dispute resolution. Review and approve all service contracts, purchase orders, and commercial agreements to ensure legal enforceability, risk mitigation, and compliance with Joint Venture obligations and internal governance policies. Draft, review, and negotiate legal documents, contracts, and formal correspondence.
Corporate Governance Framework Develop and maintain the corporate governance framework, including Board charters, committee structures, delegation of authority, and decision rights. Ensure full implementation and tracking of the Shareholders Agreement provisions, and monitor all required actions.
Board & Shareholder Engagement Prepare legal and governance reports for Sapphire Management and the Board of Directors. Coordinate all legal deliverables and documentation required for Board and shareholder meetings (e.g., agendas, resolutions, minutes, and compliance tracking). Liaise with external counsel as needed on matters requiring specialized legal expertise.
Policy Development & Training Develop and implement company-wide legal, regulatory, and governance policies and procedures. Deliver governance and compliance training to all relevant stakeholders to promote awareness and consistent application of governance standards.
Audit, Compliance & Risk Management Develop and execute an annual legal and governance audit plan. Conduct internal audits to verify compliance with shareholder agreements, regulatory requirements, and internal procedures. Maintain the corporate legal risk register and monitor timely resolution of identified risks across departments.
Qualifications & Experience Bachelor’s degree in law (LLB); or Related field, master’s degree or related legal certification is an advantage. Minimum of 7 years of experience in corporate legal and governance roles. Experience with Joint Ventures, M&A transactions, or complex shareholder structures is highly desirable. In-depth knowledge of Saudi corporate law, regulatory frameworks, and commercial contracts.
Skills & Competencies Strong legal drafting, contract negotiation, and risk management skills. Deep understanding of corporate governance principles and JV compliance structures. Excellent communication and stakeholder engagement capabilities, including experience working with Boards and Executive Management.
