On behalf of our client, a well established company operating in car leasing industry in Saudi, we are searching for Governance & Legal Manager.
Role Purpose To oversee and lead the Governance & Legal Department, ensuring full compliance with regulatory requirements and internal policies. The role includes serving as Secretary of the Board, ensuring proper governance practices, legal oversight, and effective management of risk and compliance functions.
Key Responsibilities:
1. Governance & Board Secretariat Serve as the Secretary of the Board and all board committees. Prepare meeting agendas, minutes, resolutions, and ensure timely distribution of all board materials. Maintain corporate governance policies and ensure alignment with regulatory frameworks. Monitor board effectiveness and compliance with statutory requirements.2. Legal Affairs Provide legal advice on contracts, company agreements, and regulatory obligations. Review and draft legal documents to mitigate risks. Manage external legal counsel when required. Ensure compliance with Saudi laws, including Ministry of Commerce, GOSI, ZATCA, and other regulatory bodies.3. Risk Management Lead the implementation of risk management frameworks across departments. Identify, assess, and report key risks, and ensure mitigation plans are in place. Oversee strategic, operational, and financial risk assessment processes.4. Compliance Oversight Ensure the company adheres to internal policies, external regulatory requirements, and industry standards. Lead compliance programs, including monitoring, reporting, and training. Promote a culture of compliance and ethical conduct.5. Department Leadership & Team Management Lead and supervise department staff (Governance, Legal, Risk & Compliance). Set department objectives and KPIs aligned with company strategy. Provide coaching, professional development, and performance management. Ensure effective workflow, quality control, and timely delivery of department outputs.
Qualifications & Experience:
Bachelor’s degree in Law, Business Law, Corporate Governance, or related field. Minimum of 5 years of relevant experience in governance, legal affairs, compliance, or board secretariat roles. Experience in managing teams and leading cross-functional initiatives. Strong knowledge of Saudi corporate governance frameworks and regulatory requirements.
Required certifications:i Fsah certificate. CME 1 certificate. Capital Markt Exam 1. CME 2 certificate. Capital Markt Exam 2
