Job Title: Chief of Legal and GRC
Location HQ- Riyadh
Position Overview:
The Chief of Legal and GRC is responsible for leading the organization’s legal strategy and overseeing all Governance, Risk, and Compliance functions. This role ensures that the company operates within the law, adheres to regulatory requirements, minimizes risk exposure, and maintains strong corporate governance practices. The position provides strategic guidance to senior leadership and acts as the primary advisor on legal matters, business decisions, and enterprise-wide risk management.

Key Responsibilities:
Legal Affairs:
Provide expert legal counsel to executive leadership on corporate matters, contracts, regulatory issues, and strategic transactions.
Draft, review, and negotiate a wide range of legal agreements to protect the company’s interests.
Manage external legal counsel and ensure cost-effective and high-quality legal services.
Oversee legal disputes, litigation, and claims, ensuring effective resolution strategies.
Monitor changes in laws and regulations to proactively mitigate legal risks.

Governance:
Lead corporate governance framework development and ensure compliance with Board policies and statutory requirements.
Support Board of Directors and executive committees through preparation of resolutions, minutes, and governance materials.
Implement best-practice governance structures, ensuring transparency, accountability, and ethical conduct.

Risk Management:
Develop and maintain the organization’s enterprise risk management (ERM) program.
Identify, assess, and monitor strategic, operational, financial, and compliance risks.
Design risk mitigation plans and align them with business objectives.
Conduct regular risk assessments and report risk levels to senior management and the Board.

Compliance:
Oversee all internal and external compliance programs, including regulatory, legal, and industry-specific requirements.
Establish and enforce company-wide compliance policies, procedures, and training.
Ensure continuous auditing, monitoring, and reporting to maintain ethical business practices.
Lead investigations related to compliance violations or misconduct.

Qualifications:
Bachelor’s degree in Law (LLB or equivalent); Master’s degree or MBA is a plus.

14+ years of experience in legal, compliance, and/or risk management leadership roles.
Proven experience advising senior executives and managing complex legal and regulatory environments.
Strong understanding of corporate governance principles and risk management frameworks.
Excellent communication, negotiation, and strategic decision-making skills.
High level of integrity, professionalism, and sound judgment.
