To support the development and implementation of transactions framework and ensure alignment to Olayan’s goals, in addition to overseeing M&As and joint ventures agreements and acting as the focal point for communication with external law firms and with stakeholders regarding transaction-related issues.
Job Accountabilities & Activities<br/><br/>• Provide technical guidance in the development and implementation of transactions framework, and ensure alignment with Olayan’s regulations and goals.
• Conduct legal assessment of legal risks and opportunities associated with various transactions for Olayan, and recommend the proper course of action.
• Lead the negotiations to settle or solve disputes, and ensure Olayan’s interests are protected a legal standpoint.
• Lead process of negotiations and deal structuring from legal perspective as it relates to M&As and joint ventures project agreements, and ensure all pre-requisites are met and legal due diligence is properly executed to avoid any potential legal risks.
• Negotiate with external law firms to guarantee alignment of their activities and actions with Olayan’s rules and regulations.
• Review all transaction-related documentation such as contracts, agreements, leases, proxies and resolutions and recommend any updates and amendments as necessary.
• Communicate with different stakeholders within the different companies under Olayan’s Group, and provide legal advice regarding transaction-related issues in compliance with the transactions framework.
• Coordinate with different stakeholders within Olayan to ensure proper cross charging of transactions’ invoices such as external law firms’ invoices for related transactions.
• Oversee cross charging of invoices to the correct functions within Olayan.
Education & Certifications<br/><br/>Bachelor’s degree in Corporate Law or equivalent is required
Required Years of Experience<br/><br/>minimum of 6-9 years of experience in the Legal domain, previous experience in Transactions is highly preferred.
