Job Purpose The Governance Manager is responsible for establishing, embedding, and continuously improving corporate governance frameworks across a Group and its subsidiary entities (Facilities Management, Construction, Engineering, Technology, Manufacturing, and Oil & Gas Services). The role ensures the Group and its Boards/Committees operate in line with the Saudi Companies Law, relevant regulatory requirements, and international governance best practice, while safeguarding the integrity of decision-making, risk oversight, and accountability across a diversified multi-entity structure.
Key Responsibilities1. Corporate Governance Framework Design, implement, and maintain the Group's corporate governance framework, policies, and charters (Board Charter, Committee Charters, Delegation of Authority, Code of Conduct). Ensure governance structures are cascaded consistently and appropriately across all subsidiary entities, respecting each entity's regulatory and operational context. Periodically benchmark the Group's governance practices against Saudi regulatory requirements and regional/international standards, recommending enhancements.2. Board & Committee Support Plan and coordinate Board and Committee meetings across the Group and key subsidiaries, including agenda setting, meeting packs, minutes, and action tracking. Act as the central point of contact between the Board, Group Executive Management, and subsidiary leadership on governance matters. Maintain the statutory registers, resolutions, and corporate records for the Group and its entities.3. Regulatory & Legal Compliance Monitor compliance with the Saudi Companies Law, Ministry of Commerce requirements, and other applicable regulatory bodies relevant to the Group's diversified sectors. Coordinate with Group Legal on licensing, commercial registration, and statutory filing obligations across entities. Track regulatory changes affecting governance and disclosure obligations, briefing leadership on implications.4. Risk & Internal Controls Work with Internal Audit and Risk functions to ensure governance processes support the Group's enterprise risk management framework. Support the design and monitoring of internal controls related to authority limits, conflicts of interest, and related-party transactions. Escalate governance or compliance gaps identified across subsidiaries to Group Executive Management.5. Subsidiary Governance Alignment Act as the governance liaison across subsidiary entities, ensuring consistent application of Group policies while accommodating sector-specific requirements (e.g., FM, Construction, Engineering, Technology, Manufacturing, Oil & Gas Services). Support entity-level Boards/Management Committees in adopting Group governance standards. Coordinate cross-entity governance reporting to the Group Board.6. Policy & Documentation Own and maintain the Group's governance policy library, ensuring version control, approvals, and periodic review cycles. Draft governance-related communications, resolutions, and policy papers for Board/Committee approval.7. Stakeholder Coordination Partner with Group HR, Legal, Finance, Internal Audit, and BD/Bidding & Tendering teams on governance matters intersecting with their functions. Support Group HR in aligning organizational structures, delegation of authority, and GM-level role accountabilities with governance principles.
Qualifications Bachelor's degree in Law, Business Administration, Corporate Governance, or a related field (required). Professional certification in Corporate Governance (e.g., a recognized Governance/Company Secretary qualification) is preferred. Master's degree is an advantage.
Experience Minimum 8–10 years of progressive experience in corporate governance, company secretarial practice, or compliance, ideally within a multi-entity group structure in Saudi Arabia. Demonstrated experience supporting Boards and Committees, including minute-taking, resolution drafting, and statutory record-keeping. Prior exposure to diversified sectors (Facilities Management, Construction, Engineering, Technology, Manufacturing, or Oil & Gas Services) is an advantage. Strong working knowledge of the Saudi Companies Law and related regulatory frameworks.
