We are looking for a lawyer/legal counsel with genuine depth in the Saudi Companies Law and commercial contracts to join a team providing advisory services to clients including holding companies, industrial firms, contracting businesses, and foreign entities licensed in the Saudi market. The role combines advisory and litigation aspects: drafting contracts and structuring transactions on one hand, and preparing memoranda for judicial and quasi-judicial bodies on the other. Those who join us will handle acquisition, merger, and exit files, incorporation procedures for Saudi, foreign, and mixed entities, as well as liquidation and bankruptcy cases.

Responsibilities:
  • Provide written and oral legal advice to clients on matters related to the Saudi Companies Law and relevant commercial regulations.
  • Draft and review all types of commercial contracts — articles of association, partnership, supply, distribution, commercial agency, services, and title transfer — to protect the client's position and minimize the risk of disputes.
  • Prepare legal memoranda, statements of claim, responses, and pleadings, and submit them to courts and quasi-judicial committees.
  • Examine acquisition, merger, and exit transactions, participate in due diligence, and prepare the necessary legal reports.
  • Manage liquidation and bankruptcy procedures in accordance with the Bankruptcy Law and its implementing regulations, and follow up with the relevant authorities.
  • Execute incorporation procedures for Saudi, foreign, and mixed entities, amend articles of association, and deal with relevant authorities (Ministry of Commerce, Ministry of Investment, Saudi Business Center).
  • Prepare and update governance systems, internal regulations, and resolutions for general assemblies and boards of directors for corporate clients.
  • Monitor regulatory and legislative updates affecting clients' businesses and issue alerts and brief memoranda accordingly.
  • Coordinate with the team, document the progress of files, and keep their status updated within the firm's systems.

Qualifications:
Essential Qualifications:
  • Bachelor’s degree in Sharia, Legal Studies, or Law from an accredited university.
  • Preferably more than 4 years of practical experience in legal practice or legal consultancy, preferably within a law firm or a corporate legal department.
  • Proven working knowledge of the Saudi Companies Law and commercial contracts.
  • Knowledge of the provisions for acquisitions, mergers, exits, and liquidation and bankruptcy.
  • Familiarity with the incorporation procedures for Saudi, foreign, and mixed entities and their regulatory bodies.
  • Proven ability to draft contracts and legal memoranda in accurate and proper Arabic.
  • Proficiency in spoken and written English at a level sufficient for client negotiation and review of English-language contracts.
  • Effective communication and presentation skills, with the ability to clearly explain complex legal issues to non-specialists.

Preferred Qualifications:
  • License to practice law from the Ministry of Justice (preferred but not required).
  • Master’s degree in Law, Commercial Judiciary, or equivalent.
  • Professional certifications in commercial arbitration, governance, or compliance.
  • Previous experience working with foreign corporate clients or multinational entities.
  • Proficiency in using legal file management systems and digital work tools.
