Key Responsibilities:<br/><br/>Handle legal transactions, partnerships, and projects to ensure compliance with UAE/KSA laws and regulations. Manage international cross-border M&A, joint ventures, and commercial matters. Coordinate legal due diligence projects and draft initial deal documentation. Oversee business acquisitions and disposals at regional, national, and international levels. Evaluate new business partnerships with vendors and subcontractors, and examine legal issues related to new products and services. Guide management on regulatory and compliance issues to ensure legal compliance. Work closely with colleagues on regulatory matters and project launches throughout the MEA region. Advise teams on relevant legal contexts, issues, and risks, including complex agreement structures and company policies. Handle content licensing and complex commercial distribution transactions, including telcos partnerships and promotion agreements. Coordinate with cross-functional colleagues, including management, procurement, finance, strategy, and HR. Draft and negotiate standard clauses (warranties, indemnities, force majeure, waiver) used in agreements. Maintain and update litigation reports and administer corporate transactions to ensure legal compliance.
