Job Details

Responsibilities:

  • Draft, review and negotiate transaction documents such as joint development agreements, EPC contracts, power supply and/or purchase agreements, land lease agreements, joint venture agreements, shareholders agreements, O&M or FM related agreements, term sheets, heads-of-terms and ancillary agreements related to the foregoing.
  • Draft, review and negotiate commercial contracts such as co-location services agreements, service level agreements and all related documents.
  • Lead and/or coordinate transaction closing matters, including due diligence, conditions precedent management, document review, preparation of Board of Directors resolutions and other related tasks.
  • Handle all day-to-day legal work related to assigned projects.
  • Supervise and guide junior lawyers.
  • Attend meetings or conference calls with internal or external clients, counterparties and other stakeholders as required.
  • Conduct presentations and training for business team members on project development matters such as deal structuring and construction contracts.
  • Manage external legal counsel when applicable or when local law input is required to support assigned projects.

Desired Candidate Profile

Experience & Qualifications:

  • Law degree from a reputable university / law school.
  • 10 years of experience as a practicing lawyer, either in a top law firm or the in-house legal department of an international company.
  • Experience in data center business or renewable energy project development and/or financing is an advantage.
  • Experience with project development (renewable or conventional power, PPP projects, real estate, telecommunications, etc.) and closing transactions is a plus.
  • Fluent in English (written and spoken); additional language skills are an advantage.
