Job Details

Job Purpose To lead and oversee the Governance, Risk Management, and Compliance (GRC) framework of the Company in accordance with the applicable laws and regulations of the Kingdom of Saudi Arabia, including the Companies Law, Ministry of Commerce regulations, and Saudi Labor Law, ensuring sound corporate governance, effective risk management, regulatory compliance, and business sustainability. Reporting Line Reports directly to the Chief Executive Officer and works closely with senior management, legal advisors, internal and external auditors, and relevant stakeholders. Key Roles & Responsibilities1. Governance•Develop, implement, and maintain the corporate governance framework in line with the Saudi Companies Law and best practices applicable to limited liability companies.•Draft, review, and update the Company’s Articles of Association and internal governance policies.•Establish and maintain policies including delegation of authority, conflict of interest, code of conduct, and disclosure policies.•Ensure clarity of roles, responsibilities, and authorities between partners, the General Manager, and executive management.•Advise senior management on governance-related matters and regulatory developments.2. Risk Management•Establish and manage an Enterprise Risk Management (ERM) framework suitable for the Saudi contracting and construction sector.•Identify, assess, and monitor strategic, operational, financial, legal, and contractual risks.•Focus on project-related risks including delays, cost overruns, HSE risks, claims, and disputes.•Maintain and periodically update the corporate risk register.•Recommend and monitor risk mitigation and treatment plans in coordination with relevant departments.3. Compliance & Regulatory Affairs•Ensure the Company’s compliance with Saudi laws and regulations, including:o Companies Law and Ministry of Commerce requirementso Saudi Labor Law and its Implementing Regulationso Applicable regulations related to the contracting and construction sector•Monitor compliance with contractual obligations toward clients, government entities, and subcontractors.•Develop and oversee internal compliance programs and awareness initiatives.•Act as the focal point for coordination with legal advisors and regulatory bodies, when required.4. Internal Control & Audit•Design and enhance internal control systems to mitigate operational and financial risks.•Coordinate with internal and external auditors licensed in Saudi Arabia.•Review audit findings and ensure implementation of corrective action plans.•Report significant control weaknesses or compliance breaches to senior management.5. Reporting & Strategic Support•Prepare periodic GRC reports for senior management.•Provide professional advice on major contracts, strategic initiatives, and high-risk projects.•Support management in dispute management and claims from a governance, risk, and compliance perspective. Authority•Full access to company records, documents, and information required to perform duties.•Authority to escalate significant risks or compliance issues directly to senior management.•Authority to recommend suspension or modification of activities posing material regulatory or risk exposure. Qualifications•Bachelor’s degree in law, Business Administration, Engineering, Accounting, or a related field.•Strong working knowledge of Saudi laws and regulations, particularly Companies Law and Labor Law.•Master’s degree is preferred. Experience•Minimum of 7–10 years of experience in governance, risk management, compliance, or related functions.•Prior experience in contracting, construction, or project-based companies is highly preferred. Professional Certifications (Preferred)•CGRC / GRCP•CRISC•ISO 31000 Risk Management•Corporate Governance or Compliance-related certifications Skills & Competencies•Strong understanding of the Saudi contracting sector and its regulatory environment.•Excellent analytical and reporting skills.•Strong communication and stakeholder management skills.•High level of integrity, independence, and professional judgment.•Ability to work effectively with senior management and partners.
