- Description: Overview Our client is aleading large company in the field of Communication & Marketing. Based in Riyadh, the Group operates an "alliance" model comprising over 13 subsidiary companies. We are seeking a strategic and highly experienced Head of Legal Department to report directly to the CEO. This role is pivotal in safeguarding the Group’s creative output, managing M&A activities, and ensuring high-level corporate governance across a diverse portfolio of creative and digital agencies. Key Responsibilities
- Group-Wide Governance & Alliance Management: Oversee the legal structure of the "alliance" model. You will be responsible for drafting and managing the frameworks that govern how the 13+ subsidiary companies interact, share resources, and maintain their individual corporate identities while remaining integrated under the Group umbrella.
- Intellectual Property (IP) Strategy & Protection:As a creative-heavy organization, you will lead the registration, enforcement, and monetization of trademarks and copyrights, ensuring that all client deliverables and internal creative innovations are legally shielded.
- M&A and Strategic Partnership Legalities:Lead legal due diligence for future acquisitions, joint ventures with international partners, and strategic alliances, ensuring deal structures align with the Group's long-term growth and risk appetite.
- Regulatory Compliance & Media Law:Ensure all Group activities comply with the regulations of the Ministry of Media, GCAM, and SDAIA, staying ahead of laws related to digital advertising, influencer marketing, and data privacy (NDPL).
- High-Value Contract Negotiation:Lead the negotiation of "One-Stop Shop" master service agreements with major government entities and private sector giants for mega-events (e.g., Expo 2030, FIFA World Cup 2034).
- Corporate Secretary & Board Advisory:Act as a strategic partner to the CEO and Chairman, managing Board meetings, recording resolutions, and providing real-time legal counsel on corporate moves and risk assessments.
- Litigation & Dispute Resolution Management:Supervise and manage legal disputes related to labor laws (for 500+ employees), vendor disagreements, or copyright infringement, serving as the primary contact for external counsel.
Requirements
- Education:Minimum BA in Law; a Master’s degree or LLM is highly preferred.
- Experience:10+ years of legal experience, ideally within a large corporate or group structure.
- Languages: Native-level fluency in Arabic and English (written and spoken).
- Location: Based in Riyadh (Candidates must currently be located inside Saudi Arabia).
- Joining Time:Preferred within 30 to 60 days.
