بصفتك أخصائي شؤون المجلس، ستلعب دوراً رئيسياً في دعم حوكمة تمرّا ومهام تفاعل المجلس من خلال التنسيق الدقيق والوثائق. يدعم هذا الدور رئيس الحوكمة ويعمل كجسر بين مكتب الرئيس التنفيذي، الشؤون القانونية، المالية، وفرق الحوكمة—مع ضمان التنفيذ السلس لعمليات المجلس واللجان مع الحفاظ على معايير الحوكمة للشركة.
سوف تساهم في إعداد مواد المجلس واللجان، وتتبع القرارات الرئيسية وبنود العمل، وتدعم التواصل الواضح وفي الوقت المناسب بين القيادة وأصحاب المصلحة الخارجيين، بما في ذلك المدراء والجهات التنظيمية (إذا كان ذلك مناسباً).
المسؤوليات الرئيسية
- الحفاظ على تقويم الحوكمة وجدول حزم المجلس/اللجان، وتنسيق المدخلات والإصدارات تحت إشراف رئيس الحوكمة.
- إعداد مواد المجلس واللجان (الجداول، العروض، القرارات، الأوراق المساندة) وتنسيق توزيعها وتتبع الموافقات/التوقيعات على قرارات المجلس والمساهمين.
- صياغة محاضر الاجتماعات وتوثيق القرارات وبنود العمل؛ الحفاظ على سجلات القرارات ومتعقبَات العمل، والمتابعة مع أصحابها وتصعيد البنود المتأخرة عند الحاجة.
- تنسيق لوجستيات الاجتماعات (افتراضية/حضورية) واتهام الاتصالات اليومية للمجلس بما يتماشى مع بروتوكولات الحوكمة.
- الحفاظ على سجلات ودفاتر الحوكمة (تشكيلة المجلس/اللجان، التعيينات، الشروط، الإقرارات والإفصاءات الرئيسية)، مع ضمان أن تكون المعلومات حديثة وجاهزة للمراجعة.
- الحفاظ على أرشيف آمن للمواد الخاصة بالمجلس وتطبيق منهجية ضبط المستندات (القوالب، الإصدارات، ضوابط الوصول، الاحتفاظ)، بما في ذلك استخدام بوابات/مستودعات المجلس إن أمكن.
- التنسيق مع المدراء الخارجيين والاستشاريين القانونيين بخصوص جدولة المواعيد، وتوزيع المستندات، والطلبات المتعلقة بالاجتماع، عند الحاجة.
خبرتك
- 2-3 سنوات خبرة في وظيفة حوكمة، قانونية، أو أمانة شركة.
- خبرة في العمل مع مجالس الإدارة في بيئة منظمة أو سريعة الإيقاع.
- سبق العمل في شركة حكومية عالية النمو أو متعددة الجنسيات يعد ميزة.
- درجة في القانون، الأعمال، أو السياسات العامة (خلفية قانونية ميزة).
- مهارات ممتازة في التواصل الكتابي وتوثيق رسمي.
- انتباه عالي للتفاصيل، خصوصاً عند صياغة المحاضر، القرارات، والمراسلات الرسمية.
مهارات تنظيمية قوية وحسن السرية عند معالجة معلومات حساسة. - القدرة على إدارة عدة مهل وتنسيق عبر وظائف مختلفة.

Your Role
Based in Riyadh, KSA | Reporting to: Head of Governance
As a Board Affairs Specialist, you will play a key role in supporting Tamara’s corporate governance and board engagement efforts through precise coordination and documentation. This role supports the Head of Governance and acts as a bridge between the CEO Office, Legal, Finance, and Governance teams—ensuring smooth execution of board and committee operations while upholding the company’s governance standards.
You will contribute to the preparation of board and committee materials, track key decisions and action items, and support clear, timely communication between leadership and external stakeholders, including directors and (as applicable) regulatory bodies.
Key Responsibilities
- Maintain the governance calendar and board/committee pack timeline, coordinating inputs and versioning with oversight from the Head of Governance.
- Prepare board and committee materials (agendas, decks, resolutions, supporting papers) and coordinate circulation and tracking of approvals/signatures for board and shareholder resolutions.
- Draft meeting minutes capturing decisions and action items; maintain decision logs and action trackers, following up with owners and escalating overdue items as needed.
- Coordinate meeting logistics (virtual/physical) and day-to-day board communications in line with governance protocols.
- Maintain governance records and registers (board/committee composition, appointments, terms, declarations and key disclosures), ensuring information is current and audit-ready.
- Maintain a secure archive of board materials and apply document control discipline (templates, versioning, access controls, retention), including use of board portals/repositories where applicable.
- Coordinate with external directors and legal counsel on scheduling, document circulation, and meeting-related requests, as needed.
Your Expertise
- 2-3 years of experience in a governance, legal, or company secretarial function.
- Experience working with or supporting Boards of Directors in a regulated or fast-paced environment.
- Prior experience in a high-growth governmental or multinational company is a plus.
- Degree in Law, Business, or Public Policy (legal background is a plus).
- Excellent written communication and formal documentation skills.
- High attention to detail, particularly in drafting minutes, resolutions, and official correspondence.
Strong organizational skills and discretion in handling sensitive information. - Ability to manage multiple deadlines and coordinate across functions.
