ROLE OVERVIEW The Entities Governance Manager will play a pivotal role in providing NEOM directly owned subsidiaries sound legal and governance advice, guidance, and support to the company to ensure its compliance with all legal & regulatory requirements and with a view to safeguarding the company’s assets and personnel.
REQUIREMENTS SUMMARY - Oversee the development and maintenance of the Subsidiary Governance Policy, the Handbooks, the Directly Owned Subsidiary (‘DOS’) Delegation of Authority (‘DoA’), the NEOM Remuneration and Compensation Guidelines and other relevant documents
- Oversee and manage the relationships between Entities Governance and the various portfolios of DOS and joint ventures (JVs) assigned and annual calendar of activities
- Provide advice and guidance to subsidiaries and joint ventures on NEOM’s governance standards and leading practice
ROLE COMPETENCIES & ACTIVITIES |
- Review all company documents to ensure that the company is operating within the jurisdiction and in compliance with Saudi Laws and any other relevant laws & regulations.
- Prepare and review resolutions and By-laws for the formation of new companies/subsidiaries, including coordination with local and regional law firms and partners.
- Prepare and provide all the constitutional documentation of the Company and POA.
- Prepare and review modifications and amendments to Articles of Association and Subsidiary Company resolutions as required
- Provide advice and services to protect companies or subsidiaries based on requisite service agreements (if any).
- Develop and oversee the creation and implementation of the required policies, procedures and controls covering all areas of the Business functions activity so that all relevant procedural/legislative requirements are in compliance with required legal regulations and standards.
- Prepare, review and develop a robust Internal authority matrix and maintain any amendments, revisions, or additions to the authority matrix
- Support the team to review/draft resolutions taken at NEOM Subsidiaries Board and Shareholders meetings to ensure accuracy, clarity, compliance with the law, shareholder agreements and the Company By-laws.
- Provide Board, Management and other functions of the Company with legal and/or governance opinion, advice and guidance as requested.
- Manage the day-to-day operations of the Entities Governance section, providing expertise, encouraging and ensuring teamwork, aligning work processes in order to achieve high performance standards, meet established targets, objectives and employee engagement in a motivated work environment and liaising with internal and external parties as necessary to facilitate the flow of business.

BACKGROUND, SKILLS & QUALIFICATIONS Knowledge Skills and Experience - Minimum of 15 years’ experience in a similar role within a large company
