Job Summary:
We are seeking a skilled Paralegal to support the Legal and Investment teams in a capital / investment firm environment. The role focuses on legal documentation, regulatory compliance, and transaction support related to investments, loans, funds, and corporate structures in Saudi Arabia. The ideal candidate will have hands-on experience with investment-related legal matters, including loan documents, term sheets, fund terms and conditions, and strong knowledge of Saudi regulatory frameworks.
Key Responsibilities:
Draft, review, and organize investment documents, including NDAs, term sheets, shareholder agreements, subscription agreements, loan documents, fund terms and conditions, and side letters Support legal aspects of private equity, venture capital, and capital market transactions Coordinate legal due diligence for investments, acquisitions, exits, and financings Draft and manage pledge assignments, facility agreements, and other financing documentation Liaise with external legal counsel, notaries, and regulatory authorities (e.g., CMA, MISA, Ministry of Commerce) Support fund formation activities, including documentation and regulatory filings Maintain and manage corporate records, SPVs, shareholder registers, and board resolutions Assist with regulatory compliance and filings under Saudi laws and CMA requirements Track transaction timelines, approvals, and closing conditions Support governance matters, including powers of attorney, board materials, and investment committee documentation Ensure confidentiality and proper handling of sensitive financial and legal information
Requirements & Qualifications:
Bachelor’s degree or diploma in Law, Legal Studies, or related field3–5 years of paralegal experience, preferably within investment firms, private equity, VC, asset management, or law firms servicing such clients Solid understanding of Saudi corporate, commercial, loan, and capital markets laws Experience working with CMA regulations, corporate structuring, investment documentation, and loan/facility agreements Strong drafting and document management skills in Arabic (English proficiency is a strong advantage) High attention to detail with strong organizational and time-management skills Ability to manage multiple transactions simultaneously
