Role Purpose:
To lead the entire lifecycle of contracts, from initial negotiation through execution and closeout, by managing contract management activities, negotiating terms, and ensuring compliance of all Nesma & Partners’ contracts with legal and regulatory requirements to best protect the organization’s interests through the contractual agreements, supporting the achievement of business objectives while minimizing potential risks and disputes.
Key Accountabilities:
- Lead the successful management of the contract lifecycle ensuring strategic alignment, legal compliance, and effective execution.
- Develop and implement procedures for contract management to enhance risk management and compliance.
- Manage the development of a proper Contracts framework and templates, ensuring alignment with Nesma & Partners’ legal guidelines.
- Draft and assess contracts related to EPC activities, ensuring legal compliance and risk mitigation.
- Verify contracts to understand project scope, schedule terms, and any possible risks, ensuring a clear, comprehensive, and well-informed perspective on the project's requirements and potential challenges.
- In collaboration with Director–Contracts and Legal/ Corporate Contracts & Legal Manager, partake in contractual discussions by providing expert advice and support to project teams to ensure that all contractual negotiations and conversations align with legal and strategic objectives, facilitate effective communication, and contribute to the successful execution of contracts within Nesma & Partners.
- Oversee the archiving of all contract-related documentation to establish an organized, accessible, and secure system for storing and managing contract records throughout their lifecycle.
- Actively participate in negotiations / renegotiations with suppliers to ensure that the benefits for Nesma & Partners are maximized and all contractual terms are in alignment with the company’s policies and serve in its best interests.
- Oversee the administration of procurement contracts, from inception to close out, including extensions, updating, cancellations, and other related activities with contractors, suppliers, and service providers to ensure that processed contracts are aligned with the standard contract terms and conditions.
- . Lead the revision and enhancement of contracts’ terms and conditions before and after signing them and coordinate the approval of amendments as required to optimize contractual agreements, enhance risk management, and align contracts with the organization's strategic objectives.
- Identify all contractual issues that might escalate to potential claims, to ensure proactive solutions are in place, as per agreed-upon procedures.
- . Monitor all risk and claim management activities from a contracting perspective to ensure alignment with Nesma& Partners requirements.
- Provide continuous feedback to Director–Contracts & Legal/ Corporate Contracts & Legal Manager regarding contracting matters to provide stakeholders, management, and teams with up-to-date and comprehensive insights into the progress, challenges, and developments related to ongoing contracts.
- Provide guidance and training to project teams on best practices, legal considerations, and risk mitigation strategies to ensure effective and efficient management of contracts throughout the project lifecycle.
Skills
Performance & Behavioral Requirements:
Education: Bachelor’s in Law, Engineering, or a related field (Master’s in Business Administration or Law (LLM) preferred).
Experience: Minimum of 10 years in contract management, with at least 4 years in a managerial role.
Skills: Contract Management, Risk Management, Regulatory Compliance, Legal Research, Contract Drafting.
Certifications: Certified Construction Contract Administrator (CCCA) or similar qualifications preferred.
Industry Experience: Experience in the EPC (Engineering, Procurement, Construction) industry is essential.
