Head of Legal and Governance

The Role:

Provide leadership in the delivery of reliable, accurate, timely and well-informed advice to the Department and the Executive Leadership Team on legal issues and the potential legal implications of various corporate strategies and business initiatives and projects.

Demonstrates professional, technical, managerial, leadership & analytical skills due to the large, developed & innovative insurance industry. Ability to grasp promptly complex issues & problems particularly with regards to compliance, &investigation issues and direct others towards proper resolution.


Responsibilities

1. Execute corporate legal strategy to promote and protect the company's operational requirements and legal status.

2. Conduct legal analysis and research on various legal matters of the organization.

3. Provide advice concerning a broad range of legal, regulatory and compliance issues on matters pertaining to marketing strategies, compensation, reimbursement, interaction with external stakeholders, etc.

4. Handle all litigation brought by and against the organization with respect to its activities in licensing, regulation, supervision, human resources, etc.

5. Handles Governance related tasks and oversees the development of Governance manuals which provide for appropriate governance of planning, processing, and decision making at the group level.

6. Manage communications with Board and Committee members as required.

7. To conduct legal research by utilizing various resources and selecting the relevant material to analyze the legal information.

8. Reviewing legal material and any other relevant documents and identifying the most important issues that need to be sorted out on a priority basis.

9. Review legal risks involved in various business deals and share the same with the management.

10. To draw up formalities regarding the settlement of disputes and monitor the implementation of the legal clauses.

11. Ensure full compliance with relevant legislation and regulation pertaining to the corporate governance of the company.

12. To handle outsourcing functions and activities.

13. To submit the documents required by the regulator on time Including assuring accuracy of information/ requirements and be held responsible in addition to providingoffi cial approved documents to the regulator.

14. Work with Data Privacy, Compliance and Data Management team on data privacy law issues.


Technical - Functional Requirements

1. Solid knowledge of KSA Laws.

2. Advanced communication skills (persuading, negotiation, expressing and presenting precisely, verbal and in writing - English and Arabic).

3. Deep knowledge of management, legal and general knowledge.

4. Advanced understanding of industry, processes and structures.

5. Advanced negotiation and conflict resolution skills.


Education and Certifications

- Law degree from a reputable law school.

- Relevant certifications (e.g., CIPP, CGRC) are preferred.


Experiences Required

- Minimum of 10 years of legal experience, preferably in the insurance industry.

- Proven track record of leadership and management experience.

- Experience in dealing with complex legal and regulatory issues.
